# FstDocs Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FstDocs website, applications, and related services (collectively, the "Service") provided by **FstDocs, LLC** ("FstDocs," "we," "us," or "our"), a Missouri limited liability company with its principal place of business in St. Louis, Missouri.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

# 1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you use the Service on behalf of a company, you represent that you have authority to bind that company.

# 2. Description of the Service

FstDocs provides a cloud-based platform that enables businesses to request, collect, upload, store, organize, and manage documents and related workflow activities. Features may include secure upload links, templates, reminders, audit logs, user management, and related business workflow tools.

We may modify, suspend, or discontinue features at any time.

# 3. Accounts

You are responsible for:

* providing accurate account information;
* maintaining the confidentiality of your credentials;
* all activities that occur under your account; and
* promptly notifying us of any unauthorized access.

We may suspend or terminate accounts that violate these Terms.

# 4. Subscription Plans and Billing

Certain features require a paid subscription.

* Fees are billed in advance on a monthly or annual basis, depending on the plan selected.
* All fees are non-refundable except as required by law.
* You authorize us and our payment processor to charge your payment method for all applicable fees.
* We may change pricing upon reasonable advance notice, and the new pricing will apply at the next renewal term.
* Failure to pay may result in suspension or termination of access to paid features.

Free plans may be subject to usage limits.

# 5. Customer Content

"Customer Content" means documents, files, text, images, data, and other content submitted to the Service by you or your authorized users.

You retain all ownership rights in Customer Content. You grant FstDocs a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Customer Content solely to provide and improve the Service.

You are solely responsible for Customer Content and for obtaining all necessary rights and consents.

# 6. Prohibited Uses

You may not use the Service to:

* violate any law or regulation;
* upload malware, viruses, ransomware, or malicious code;
* infringe intellectual property rights;
* upload unlawful, fraudulent, defamatory, or abusive content;
* attempt unauthorized access to systems or accounts;
* interfere with the security or operation of the Service;
* use the Service for spam, phishing, or deceptive practices; or
* process data in violation of applicable privacy laws.

We may remove content or suspend accounts that violate this section.

# 7. Security

FstDocs uses commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Content. However, no internet or cloud service is completely secure, and we do not guarantee absolute security.

You are responsible for maintaining the security of your own devices, networks, and user accounts.

# 8. Third-Party Services

The Service may integrate with third-party providers such as cloud hosting providers, payment processors, email delivery providers, and analytics providers. Your use of those services may be subject to their terms and privacy policies.

FstDocs is not responsible for third-party services.

# 9. Intellectual Property

The Service, including software, interfaces, trademarks, logos, and content provided by FstDocs, is owned by FstDocs or its licensors and is protected by intellectual property laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you.

# 10. Feedback

If you provide suggestions, ideas, or feedback, you grant FstDocs a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or compensation.

# 11. Confidentiality

Each party may receive confidential information from the other. The receiving party will use such information only for purposes of these Terms and will protect it using reasonable care.

Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.

# 12. Data Processing

To the extent FstDocs processes personal data on your behalf, the parties agree that the **FstDocs Data Processing Addendum (DPA)**, if applicable, is incorporated into these Terms.

You are responsible for determining whether the Service is appropriate for your legal and regulatory obligations.

# 13. Availability and Support

We will use commercially reasonable efforts to make the Service available, but we do not guarantee uninterrupted or error-free operation.

Support is provided according to the support level associated with your subscription plan.

# 14. Beta Features

We may offer beta, preview, or experimental features. Such features are provided **"as is"** and may be modified or discontinued at any time.

# 15. Disclaimer of Warranties

THE SERVICE IS PROVIDED **"AS IS"** AND **"AS AVAILABLE."** TO THE MAXIMUM EXTENT PERMITTED BY LAW, FSTDOCS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT CUSTOMER CONTENT WILL NEVER BE LOST OR CORRUPTED.

# 16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FSTDOCS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FSTDOCS' TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO FSTDOCS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

# 17. Indemnification

You will defend, indemnify, and hold harmless FstDocs and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses arising from:

* your use of the Service;
* Customer Content;
* your violation of these Terms; or
* your violation of any law or third-party right.

# 18. Suspension and Termination

We may suspend or terminate access to the Service immediately if:

* you violate these Terms;
* payment is overdue;
* your use poses a security risk; or
* required by law.

You may stop using the Service at any time.

Upon termination, your right to access the Service ends. We may delete Customer Content in accordance with our data retention policy.

# 19. Export Compliance

You may not use or export the Service in violation of U.S. export laws or sanctions regulations.

# 20. Governing Law

These Terms are governed by the laws of the **State of Missouri**, without regard to conflict-of-law principles.

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in **St. Louis County, Missouri**, and the parties consent to those courts' jurisdiction.

# 21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.

# 22. Miscellaneous

* These Terms constitute the entire agreement between you and FstDocs regarding the Service.
* If any provision is held unenforceable, the remaining provisions remain in effect.
* You may not assign these Terms without our prior written consent.
* FstDocs may assign these Terms in connection with a merger, acquisition, or sale of assets.
* Failure to enforce a provision is not a waiver.
